| Good governance is not just a set of laws and regulations, but rather an organizational philosophy that seeks to achieve a balance between different interests and enhance transparency and accountability within companies and institutions. Therefore, the application of good governance is considered a matter of utmost importance in today's business world, as it plays a crucial role in enhancing trust and stability within companies and institutions. Therefore, public administration and good governance are two complementary concepts that aim to enhance effectiveness, transparency, and accountability in public administration. The study aims to shed light on the legal organization of the Ministry of Foreign Affairs in Iraq and Egypt in light of the principles of public administration and good governance. In order to achieve the goal of the study, the study identifies the legal organization of the Ministry of Foreign Affairs in Iraq and Egypt, the difference between the two legal systems in the two countries, and a study of the laws and regulations that regulate the work of the Ministry of Foreign Affairs in Iraq and Egypt. The research relies on the use of a comparative descriptive analytical approach by reviewing the literature on the subject of the study, including articles, books, and scientific studies related to the legal organization of the Ministry of Foreign Affairs: A comparative study between Iraq and Egypt in light of the principles of public administration and good governance. The study concluded that the comparative study reveals that the legal organization of the Ministry of Foreign Affairs in Iraq relies on flexible structures that aim to adapt to the political and security challenges resulting from political transformations after 2003.
